These Terms of Service ("Terms") govern your use of Vorde Studio's website and services. By booking a call, signing a proposal, or using our services, you agree to these Terms.

1. Services

Vorde Studio provides:

• Website design & conversion development
• AI voice agents and automation workflows
• Social media management
• Lead generation & outbound growth systems

Specific deliverables, timelines, and pricing for each engagement are outlined in your individual proposal/agreement, not on this page.

2. Engagement Terms

• Setup fee: A one-time setup fee due before work begins, per the agreed tier/package ($497 for Founding Clients).
• Monthly plans: Billed monthly ($397/mo) and run on a standard 12-month minimum term unless otherwise agreed in writing.
• Timeline: Standard build timelines are communicated per project (typically 7–14 days for web sprints) but are estimates, not absolute guarantees, and can shift based on client responsiveness (asset submission, reviews, approvals).

3. Client Responsibilities

You agree to:

• Provide timely access to accounts, content, branding assets, and approvals needed to complete the work.
• Ensure any content/assets you provide (logos, images, testimonials, copy) don't infringe on third-party intellectual property rights.
• Use deliverables (website, AI agent, lead funnels) in strict compliance with applicable laws in your industry (e.g., telemarketing/consent rules for AI voice calling, advertising standards for your trade).

4. Payments

• Setup fees are due upon signing before work begins.
• Monthly fees are billed on a recurring basis via Stripe / credit card.
• Late or failed payments may result in paused hosting or automation services.
• All fees are non-refundable once work has begun, except where an explicit written guarantee applies.

5. Cancellation

Monthly plans run on a 12-month term. Early cancellations require a 30-day written notice. Founding Client offers are subject to terms specified at signup.

6. Guarantees & Disclaimers

We build high-converting systems intended to help capture and convert more leads, but we do not guarantee specific revenue figures or customer volumes, as these depend on external factors outside our control (market conditions, your team's follow-up speed, local competition, pricing, and job fulfillment quality).

7. Intellectual Property

• Upon full payment of setup fees, you own the final custom website design, domain configuration, and unique content created specifically for your business.
• Vorde Studio retains ownership of our underlying templates, frameworks, and proprietary software integrations used to build your deliverables, and may reuse general (non-client-specific) architectural components across other projects.

8. Third-Party Platforms

Our deliverables may integrate with third-party platforms (e.g., GoHighLevel, hosting providers, Cal.com, Twilio/LC Phone for voice AI). You are responsible for any usage or subscription fees tied directly to those platforms if billed separately.

9. Limitation of Liability

To the extent permitted by law, Vorde Studio is not liable for indirect, incidental, or consequential damages (e.g., lost profits, lost leads) arising from use of our services. Our total liability for any claim is limited to the fees paid by you in the 3 months preceding the claim.

10. Termination

We reserve the right to pause or terminate services for non-payment, misuse, or violation of these Terms.

11. Governing Law

These Terms are governed by applicable commercial laws without regard to conflict-of-law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes means you accept the updated Terms.
